This Agreement is between you or the entity you represent (“You”, “Your”) and HCMDrive Private Limited (“HCMDrive”, “We”, “Us”, “Our”) and governs your access to and use of HCMDrive’s cloud-based software and services If you do not agree, you must not use the Services.
These Terms include general terms, service-specific terms, pricing, policies, and referenced documents. In case of conflict, service-specific terms prevail. You accept this Agreement by registering, clicking acceptance, or using the Services. You confirm that you are legally capable and authorized to bind the organization you represent.
HCMDrive provides cloud-based HR and workforce management solutions, including employee records, payroll assistance, attendance and leave tracking, recruitment, performance management, compliance dashboards, reports, and related mobile or offline applications. Features depend on the subscribed plan and may be updated or modified.
Beta or trial Services are provided for evaluation only and may be modified or discontinued at any time without liability. Services during trial or beta are provided “as-is” without warranties, support, or guarantees. Data entered during trials may be deleted unless upgraded or exported before expiry.
You must provide accurate and complete registration information and keep your account credentials confidential. You are responsible for all activities performed using your account. HCMDrive may suspend or terminate accounts with false, outdated, or misleading information.
You agree not to misuse the Services. This includes prohibitions on resale, unauthorized access, reverse engineering, malware distribution, spamming, benchmarking, intellectual property infringement, violation of Indian laws, or use that threatens public order, security, or sovereignty of India.
Organization accounts may have administrators who manage users and configurations. You are responsible for administrator actions and internal governance. HCMDrive is not liable for internal misuse or loss of control over administrator accounts.
Services are offered on a subscription basis and may automatically renew unless cancelled in advance. Fees are exclusive of applicable taxes including GST, which you agree to pay as required by law. Refunds are provided only where legally required or expressly stated.
The Services may integrate with third-party applications governed by their own terms. HCMDrive is not responsible for third-party services, content, availability, or data handling.
You retain ownership of your data. HCMDrive processes data only to provide the Services in accordance with its Privacy Policy and implements reasonable security safeguards. You are responsible for lawful data collection, consent, and compliance with applicable data protection laws.
HCMDrive provides tools to assist with HR and payroll workflows but does not guarantee compliance with any law. You remain solely responsible for compliance with all applicable labor, tax, and employment laws.
All intellectual property rights in the Services belong to HCMDrive. No rights are granted except the limited right to use the Services in accordance with this Agreement.
Each party agrees to protect the other’s confidential information and use it only for purposes of this Agreement, except where disclosure is required by law.
HCMDrive does not guarantee uninterrupted or error-free Services and may perform maintenance or suspend access as required for operational, security, or legal reasons.
The Services are provided “as-is” and “as-available.” To the maximum extent permitted by law, HCMDrive disclaims all warranties and shall not be liable for indirect or consequential damages. Total liability shall not exceed the fees paid in the preceding 12 months or ₹50,000, whichever is higher.
You agree to indemnify and hold harmless HCMDrive from claims arising from your misuse of the Services, violation of law, or breach of this Agreement.
HCMDrive may suspend or terminate access for violation of these Terms, illegal activity, inactivity, or legal requirements. Upon termination, access to the Services will cease and data may be deleted in accordance with policy.
HCMDrive may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
This Agreement is governed by the laws of India. Courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction.
